5. Orders & Payment

• Placing an order constitutes an offer to purchase; acceptance occurs when we send a shipping confirmation.
• We may refuse or cancel any order at our discretion (e.g., suspected fraud, inventory issues, pricing errors).
• Provide valid billing, shipping, and contact details. You authorize us (and our payment processors) to charge the total amount due, including taxes and shipping.
• Prices are shown in the currency indicated at checkout and exclude applicable taxes and shipping unless stated otherwise.

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Provisions intended to survive termination will remain in effect.

10. Platform Provider

Our store is hosted by Shopify Inc., which provides the online e-commerce platform enabling us to sell products and services. Your use of Shopify-powered features may also be subject to Shopify’s terms and policies.

11. Online Store Terms

You agree not to use the Services for any unlawful or unauthorized purpose and to comply with all applicable laws, including copyright and export control laws. A breach of any Term may result in immediate termination of your access.

12. General Conditions

• We reserve the right to refuse service to anyone for any reason at any time.
• Your content (excluding card data) may be transferred unencrypted across networks. Payment card information is always encrypted during transfer.
• You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our written permission.
• Headings are for convenience only and do not limit these Terms.

13. Information Accuracy & Timeliness

Materials on the site are provided for general information and may not always be accurate, complete, or current. Reliance on the material is at your own risk; please consult primary, more timely sources where needed.

14. Modifications to Services & Prices

Prices, features, and availability may change without notice. We are not liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Services.

15. Products or Services; Limits

• Some items may be available exclusively online and in limited quantities.
• We may limit sales by person, household, region, or jurisdiction and may refuse or cancel quantities at our discretion.
• All offers on the site are void where prohibited.

16. Billing & Account Accuracy

We may cancel orders or place limits that, in our judgment, appear to be placed by dealers, resellers, or distributors. You agree to promptly update account information (email, card numbers, expiration dates) so we can complete your transactions.

17. Optional Tools & Communications (SMS/Email)

We may provide access to third-party tools “as is” and “as available,” without warranties or control by us. If you opt in to receive text messages or emails (e.g., order updates, abandoned checkout reminders, marketing offers, and review requests), you consent to recurring communications. Message frequency varies. Consent is not a condition of purchase.

We may change the sending number or short code at any time. Messages sent to an old number/short code may not be received; we are not liable for honoring requests made to inactive numbers. 19. Disclaimer of Warranties

Except as expressly stated, the Services and all products are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

20. Limitation of Liability

To the maximum extent permitted by law, Zentorad Consulting LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Services or products.

21. Indemnification

You agree to indemnify and hold harmless Zentorad Consulting LLC and its affiliates from any claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising from your breach of these Terms or violation of any law or third-party rights.

22. Arbitration Agreement & Class Action Waiver

22.1 Agreement to Arbitrate

By purchasing from or using Nimbao, you agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any products (each a “Claim”) shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court before a judge or jury.

The arbitrator shall issue a reasoned written award and has authority to grant all remedies available in court under law or in equity. Each party bears its own attorneys’ fees, expert costs, and expenses unless applicable law provides otherwise.

22.2 Procedures & Venue

Arbitration will be conducted by a single arbitrator. Unless the parties agree otherwise, the arbitration shall take place in Albuquerque, New Mexico, USA, or be conducted remotely by phone/video and on documents. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this section. If, and only if, the FAA is found inapplicable, New Mexico law governing arbitration shall apply.

22.3 Exclusions

Either party may bring an individual action in small claims court. This section does not require arbitration of claims for public injunctive relief where such a requirement would be unenforceable.

22.4 Class Action Waiver

You and Zentorad Consulting LLC agree that arbitration will be conducted only on an individual basis and not in a class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of representative or class proceeding.

22.5 Opt-Out

You may opt out of this arbitration agreement by sending a written notice within 30 days of your first purchase with Nimbao. Your notice must include: (1) your full name, (2) mailing address, and (3) a statement that you choose to opt out of arbitration with Nimbao/Zentorad Consulting LLC. Send to:

You are responsible for ensuring receipt of your opt-out. We recommend using a trackable mail service. Opt-out requests received after the deadline are invalid and Claims must be pursued in arbitration.

23. Governing Law & Venue

Except as preempted by the FAA, these Terms and any non-arbitrable disputes are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles. For any matter not subject to arbitration, the exclusive venue shall be the state and federal courts located in Bernalillo County, New Mexico, and you consent to their jurisdiction.

24. Severability & Waiver

If any provision of these Terms is found unenforceable, that provision will be severed and the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right.

25. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
